Agreement to Terms

By accessing or using ShelfLifePro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. ShelfLifePro is operated by Kalivers Pvt Ltd.

Description of Service

ShelfLifePro provides cloud-based inventory management software designed for Indian retail businesses. The Service includes:

  • Inventory tracking and management
  • Expiry date monitoring and alerts
  • Point of Sale (POS) functionality
  • OCR invoice scanning
  • AI-powered markdown suggestions
  • Business analytics and reporting
  • GST compliance features

Account Registration

To use the Service, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

Subscription and Billing

Free Trial

We offer a 14-day free trial. No credit card is required to start the trial. The trial includes full access to all features of the selected plan.

Paid Subscriptions

  • Subscriptions are billed monthly or annually in advance
  • All fees are in Indian Rupees (INR) and exclusive of applicable taxes
  • Payment is due immediately upon subscription or renewal
  • We accept payment via credit card, debit card, UPI, and net banking
  • Subscriptions automatically renew unless cancelled

Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial months or years, except as outlined in our Refund Policy.

Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate or infringe upon the rights of others
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to the Service
  • Use the Service to transmit viruses or malicious code
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to compete with us or for commercial purposes outside of your business
  • Resell or sublicense the Service without authorization

Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Key points:

  • You retain all ownership rights to your data
  • You grant us permission to process your data to provide the Service
  • We implement reasonable security measures to protect your data
  • You are responsible for maintaining backups of your data
  • You can export your data at any time
  • Upon termination, we retain your data for 90 days before permanent deletion

Service Availability

We strive to provide high availability but do not guarantee uninterrupted access:

  • We target 99.5% uptime but do not guarantee specific uptime levels
  • Scheduled maintenance will be communicated in advance when possible
  • We are not responsible for downtime caused by factors outside our control
  • The Service includes offline functionality through PWA technology

Intellectual Property

The Service and its original content, features, and functionality are owned by Kalivers Pvt Ltd and are protected by:

  • Copyright, trademark, patent, trade secret, and other intellectual property laws
  • You may not copy, modify, distribute, sell, or lease any part of the Service
  • The ShelfLifePro name and logo are trademarks of Kalivers Pvt Ltd

Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not responsible for losses resulting from your use or inability to use the Service
  • We are not responsible for business losses, data loss, or profit loss

Indemnification

You agree to indemnify and hold harmless Kalivers Pvt Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another.

Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service or any part thereof at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

Termination

We may terminate or suspend your account and access to the Service:

  • Immediately for cause, including violation of these Terms
  • Upon non-payment of fees
  • If we believe your account poses a security risk
  • At our discretion with 30 days notice for any other reason

Upon termination, you must immediately cease using the Service and you will lose access to your account and data after 90 days.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Kalivers Pvt Ltd regarding the Service and supersede all prior agreements and understandings.
